Terms of Service

1. Who We Are
These Terms of Service ("Terms") are a legal agreement between you and BOSSX GLOBAL LIMITED, a company incorporated in Hong Kong ("BossX", "we", "us", "our"). Our registered address is available upon request at legal@bossx.app.
By creating an account or using the BossX or BossDriver applications (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. What BossX Is (and Is Not)
BossX is a relationship management platform that helps clients ("Bosses") coordinate with their existing private drivers ("Drivers"). The Service enables:
- Connecting Bosses with their private Drivers via QR code
- Summoning Drivers and tracking their real-time location
- Scheduling rides
- Messaging between Bosses and Drivers
BossX is not a transportation provider, ride-hailing service, or employment agency. We do not supply Drivers, set fares, process payments, or collect commissions on any transaction. All arrangements between Bosses and Drivers — including compensation, schedules, and service quality — are solely between those parties.
3. Eligibility
- You must be at least 18 years old to use the Service.
- You must provide accurate and complete registration information.
- You may only maintain one account per person.
- If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
4. Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately at support@bossx.app if you suspect unauthorized access. We are not liable for losses arising from unauthorized use of your account.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Harass, threaten, abuse, or discriminate against any user
- Impersonate any person or entity
- Transmit malware, spam, or any harmful content
- Attempt to reverse-engineer, decompile, or tamper with the Service
- Scrape, data-mine, or use automated systems to access the Service
- Share other users' personal information without their consent
- Use the Service to facilitate any activity that violates the rights of others
We may investigate violations and take action including suspending or terminating your account.
6. Commission and Payments
6.1 Zero Commission
BossX charges zero commission on any transaction between Bosses and Drivers. All fare and payment arrangements are solely between the parties. BossX does not process, hold, mediate, or intervene in any payment.
6.2 Subscriptions
BossX may offer optional premium subscription plans with additional features. If you purchase a subscription:
- Payment is charged to your Apple ID account or Google Play account at confirmation of purchase.
- Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.
- You can manage and cancel subscriptions through your device's App Store or Google Play settings.
- Refunds are handled by Apple or Google in accordance with their respective refund policies.
- We reserve the right to change subscription pricing with reasonable notice. Price changes will not affect your current billing period.
7. Intellectual Property
The Service, including its design, logos, text, graphics, software, and all other content (collectively, "BossX Content"), is owned by BOSSX GLOBAL LIMITED and is protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. This license does not include the right to:
- Copy, modify, or distribute any BossX Content
- Use the BossX name, logos, or trademarks without prior written consent
- Create derivative works based on the Service
8. User Content
"User Content" means any messages, voice recordings, images, or other material you transmit through the Service.
- You retain ownership of your User Content.
- By using the Service, you grant BossX a worldwide, royalty-free license to transmit, store, and process your User Content solely for the purpose of operating the Service.
- You represent that you have all rights necessary to share your User Content and that it does not violate any law or third-party right.
- We may remove or disable access to User Content that we reasonably believe violates these Terms or applicable law.
9. Location Data
- Drivers share their real-time location with connected Bosses when online.
- Bosses share their location when summoning a Driver for pickup.
- Location data is only visible to connected parties and is never made public.
- You can stop sharing location data at any time by going offline (Drivers) or closing the app (Bosses).

10. Disclaimers
- No transportation services. BossX is a coordination tool. We do not provide, control, or supervise any transportation or driving services.
- No vetting. We do not conduct background checks, verify licenses, or screen Drivers or Bosses. You are responsible for your own due diligence.
- No payment responsibility. We are not responsible for payment disputes, wage claims, or financial arrangements between Bosses and Drivers.
- As-is. The Service is provided "as-is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
- No uptime guarantee. We do not guarantee uninterrupted or error-free operation of the Service.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- BossX, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
- Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to BossX in the 12 months preceding the claim, or USD $50, whichever is greater.
- These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless BossX and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or third-party right
- Any dispute between you and any other user of the Service
13. Dispute Resolution
13.1 Informal Resolution
Before filing any formal proceeding, you agree to contact us at legal@bossx.app and attempt to resolve the dispute informally for at least 30 days.
13.2 Arbitration
If informal resolution fails, any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its then-current rules. The arbitration shall be conducted in English in Hong Kong by a single arbitrator. The arbitrator's decision shall be final and binding.
13.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this waiver is found unenforceable in your jurisdiction, the entirety of this arbitration section shall be void.
13.4 Exceptions
Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law principles.
15. Termination
- You may stop using BossX at any time by deleting your account in the app settings.
- We may suspend or terminate your account at any time if you violate these Terms, upon reasonable notice where practicable.
- Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive (including Sections 7, 8, 10–14).
16. Force Majeure
BossX shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, power failures, internet or telecommunications failures, or third-party service outages.
17. Third-Party Platforms
17.1 Apple
If you download the Service from the Apple App Store, you acknowledge that:
- These Terms are between you and BossX, not Apple.
- Apple has no obligation to provide maintenance or support for the Service.
- Apple is not responsible for any claims relating to the Service, including product liability, legal compliance, or intellectual property claims.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
17.2 Google
If you download the Service from Google Play, you acknowledge that Google has no obligation to provide maintenance, support, or warranty for the Service, and is not responsible for any claims relating to it.
18. General
- Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and BossX regarding the Service.
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
- Waiver. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
- Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
- Notices. We may provide notices via the app, push notification, or the email associated with your account.
19. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you through the app or by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and delete your account.
